# Virtu-Well End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you
("you" or "User") and Virtu-Well ("Virtu-Well," "we," "us," or "our") governing
your use of Virtu-Well's software, applications, and related services (the
"Software"), including tools that connect to QuickBooks Online and Google
Calendar to automate invoicing.
By accessing or using the Software, you agree to be bound by this Agreement. If
you do not agree, do not use the Software.
## 1. License grant
Virtu-Well grants you a limited, non-exclusive, non-transferable, revocable
license to use the Software for your internal business purposes, subject to this
Agreement.
## 2. Permitted use
You may use the Software only to prepare, review, and issue invoices and to
manage related billing activities for your own business. You are responsible for
the accuracy of the data you provide and for reviewing invoices before they are
sent.
## 3. Restrictions
You may not: (a) copy, modify, or create derivative works of the Software except
as permitted; (b) reverse engineer, decompile, or disassemble the Software
except to the extent permitted by law; (c) sell, rent, lease, sublicense, or
distribute the Software; or (d) use the Software in any unlawful manner or in
violation of any third-party rights, including Intuit's and Google's terms.
## 4. Third-party services
The Software integrates with third-party services, including Intuit/QuickBooks
Online and Google. Your use of those services is governed by their respective
terms and privacy policies. Virtu-Well is not responsible for third-party
services.
## 5. Data and privacy
Your use of the Software is also governed by the Virtu-Well Privacy Policy, which
is incorporated by reference. You authorize the Software to access your
QuickBooks Online and Google Calendar data as needed to provide the service.
## 6. Intellectual property
The Software and all related intellectual property are and remain the property of
Virtu-Well and its licensors. No rights are granted except as expressly stated in
this Agreement.
## 7. Disclaimer of warranties
The Software is provided "as is" and "as available" without warranties of any
kind, express or implied, including merchantability, fitness for a particular
purpose, and non-infringement. Virtu-Well does not warrant that the Software will
be uninterrupted or error-free. You are responsible for verifying all invoices
and financial records.
## 8. Limitation of liability
To the maximum extent permitted by law, Virtu-Well will not be liable for any
indirect, incidental, special, consequential, or punitive damages, or any loss of
profits or revenues, arising out of or related to your use of the Software.
## 9. Termination
This Agreement is effective until terminated. Virtu-Well may suspend or terminate
your access at any time for any breach. Upon termination, you must stop using the
Software.
## 10. Governing law
This Agreement is governed by the laws of the State of New York, without regard to
its conflict-of-laws principles.
